1. Agreement to Terms

By accessing and using the Quantum Academy website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

These Terms apply to all visitors, users, and others who access or use the Services. By using the Services, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Description of Services

Quantum Academy provides AI-native executive training programs, including but not limited to:

• The Executive Edition training program (6–8 weeks)
• AI Noise Audit diagnostic tools
• Guided executive training sessions
• Digital deliverables including playbooks, templates, and frameworks
• Clarity call consultations

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice.

3. Enrollment and Payments

3.1 Enrollment. By enrolling in any Quantum Academy program, you agree to pay the applicable fees as described at the time of enrollment. All fees are quoted in U.S. dollars unless otherwise stated.

3.2 Payment Processing. Payments are processed securely through Stripe. By providing payment information, you represent that you are authorized to use the payment method provided.

3.3 Refund Policy. Due to the personalized and intensive nature of our programs, refunds are handled on a case-by-case basis. Please contact us within 7 days of enrollment if you need to discuss a refund.

4. Intellectual Property

4.1 Our Content. All content provided through the Services — including but not limited to training materials, frameworks, templates, playbooks, methodologies, and assessments — is the exclusive property of Quantum Academy and is protected by intellectual property laws.

4.2 Your License. Upon enrollment, you receive a limited, non-exclusive, non-transferable license to use program materials for your personal and professional use. You may not distribute, reproduce, or share these materials with third parties without written permission.

4.3 Your Content. You retain ownership of any original work product you create during the program using our frameworks. However, Quantum Academy may use anonymized, aggregated data for research and improvement purposes.

5. User Conduct

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law
• Share, distribute, or resell program materials without authorization
• Interfere with or disrupt the Services or servers
• Impersonate any person or entity
• Attempt to gain unauthorized access to any part of the Services
• Use automated means to access the Services without permission

6. Confidentiality

During your participation in Quantum Academy programs, you may have access to confidential information including proprietary methodologies, business strategies, and fellow participants' information. You agree to maintain the confidentiality of all such information and not disclose it to third parties.

7. Disclaimers

7.1 No Guaranteed Results. While our programs are designed to help professionals build AI-native capabilities, individual results may vary. We do not guarantee specific business outcomes, time savings, or financial returns.

7.2 As-Is Basis. The Services are provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Quantum Academy and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from your access to or use of the Services.

9. Indemnification

You agree to defend, indemnify, and hold harmless Quantum Academy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Services.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the applicable jurisdiction.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Services or by other means. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms.
